This Addendum (“ACA Addendum”) is hereby incorporated into the BambooHR Terms of Service (“Agreement”) by reference and applies to all end users (“End Users”) who access Lumelight (Lumelight) services throughout the BambooHR platform. By accessing Lumelight services, End Users agree to comply with the terms and conditions set forth in this Addendum.

1. Services.

1.1. You agree that by subscribing to Lumelight services, you may require BambooHR to create, receive, use, disclose, transmit, or maintain PHI on your behalf as a HIPAA-covered entity and (if applicable) you agree to the Business Associate Agreement (“BAA”), which is incorporated herein by reference and made part of this Agreement.

2. Acceptance of Lumelight Terms of Service.

2.1. Before accessing Lumelight services, End Users must accept the Lumelight Insurance Tech Terms of Service and Business Associate Agreement available at https://acareportingservice.com/terms-conditions/. Access to Lumelight Insurance Services is contingent upon acceptance of these terms. Unless otherwise defined, capitalized terms have the same meaning as in the Regulations.

2.2. End Users must comply with all terms and conditions outlined in the Lumelight Insurance Terms of Service, Business Associate Agreement, this Addendum and Business Associate Agreement with BambooHR. Failure to comply may result in suspension or termination of access to Lumelight Services.

3. Access and Use of Lumelight Services.

3.1. End Users are granted a limited license to access and utilize Lumelight services ("Partner Solution") as part of a bundled offering within the BambooHR platform.

3.2. End Users must use Lumelight services in compliance with all applicable laws and regulations.

4. Onboarding and Support.

4.1. BambooHR will collect and document the Customer’s expression of interest in a specific ACA reporting product, either the Self-Service or Full-Service ACA Reporting option.

4.2. Upon receipt of the Customer’s expression of interest, Lumelight will contact the Customer directly to facilitate onboarding for the selected ACA reporting service.

4.3 All Customer inquiries related to Lumelight’s services will be directed to Lumelight for resolution and ongoing support.

5. Amendments.

5.1. BambooHR reserves the right to amend this Addendum as necessary to comply with changes in the Lumelight Terms of Service or applicable laws. End Users will be notified of any material changes to this Addendum.

5.2. By accessing Lumelight services, End Users acknowledge that they have read, understood, and agree to be bound by this Addendum and the Lumelight Terms of Service.

6. Warranties.

6.1. Except as expressly set forth in this addendum, BambooHR disclaims all warranties, express or implied, including but not limited to any implied warranties of merchantability, fitness for a particular purpose, and non-infringement, with respect to any Lumelight products or service
