Developer Terms of Service

These BambooHR Developer Terms of Service (“Developer Terms”) are entered into by and between Bamboo HR LLC and its applicable subsidiaries and affiliates (collectively, “BambooHR,” “we,” “us,” or “our”) and you, either individually or on behalf of the entity you represent (“Developer,” “you,” or “your”).
For purposes of these Developer Terms, a Developer is an individual who has a license to BambooHR’s Developer Tools solely for the purposes defined in Section 1.1 and 1.2 of these Developer Terms and written authorization to access BambooHR Customer Integration Data. A Developer may be a current customer (“BambooHR Customer”), marketplace partner, reseller, broker, or other third-party with a relationship to BambooHR under the Developer Terms.
These Developer Terms govern your access to and use of certain BambooHR Developer Tools provided by BambooHR, that may include: Application Programming Interfaces (APIs), webhooks, Model Context Protocol (MCP) servers, Artificial Intelligence (AI) agents, developer portal, complimentary test accounts (“Test Accounts”), Software Development Kits (SDKs), sample code, test data, documentation, and related tools and resources (collectively, the “BambooHR-provided Developer Tools”), including those made available through the BambooHR Developer Portal at developers.bamboohr.com (the “Developer Portal”).
By (a) creating a Developer account in the Developer Portal, (b) accessing or using any Developer Tools, or (c) clicking or otherwise indicating your acceptance of these Developer Terms, you agree, effective as of the date of such action (“Effective Date”), to be bound by these Developer Terms.
If you are accessing or using the Developer Tools on behalf of an organization, you represent and warrant that (a) you are authorized to bind that organization to these Developer Terms and (b) “Developer” refers to that organization and its affiliates.
1. License to Access and Use the Developer Tools.
1.1 License Grant.
Subject to your ongoing compliance with these Developer Terms and any documentation or instructions provided by BambooHR regarding the BambooHR Developer Tools, BambooHR grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable, royalty-free license to access and use the Developer Tools solely to:
- build, test, and maintain one or more software applications, products, or services controlled by Developer (each a “Developer Application”); and
- implement and operate an integration between the Developer Application and BambooHR’s hosted human resources, payroll, third party marketplace or partner services, and any other related services (collectively, the “BambooHR Services”) via BambooHR APIs or other Developer Tools (an “Integration”).
To the extent any BambooHR SDK or sample code is distributed with its own open-source or separate license terms, those terms govern your use of that SDK or sample code, and in the event of a conflict between such terms and these Developer Terms, the SDK or sample code license terms will control solely with respect to that SDK or sample code.
1.2 License Grant.
You may only use the Developer Tools to support Integrations for use by one or more BambooHR Customers who:
- are current BambooHR Customers or authorized employee users of the BambooHR Services;
- are current BambooHR Customers or authorized users of the Developer Application; and
- have authorized the Integration and any associated data sharing between BambooHR and the Developer Application in writing and in accordance with applicable law and their own internal policies. This includes any applicable artificial intelligence, privacy, data protection, and security agreements between Developer and BambooHR Customer.
1.3 BambooHR’s Discretion.
BambooHR may, in its sole discretion, limit, modify, suspend, or discontinue access to any Developer Tools or specific API endpoints at any time, including by imposing or adjusting rate limits, restricting functionality, or requiring use of updated versions. BambooHR is not liable to you for any resulting impact on the Developer Application or any Integration. Please see our public API documentation for more information.
1.4 Updates and Versions.
BambooHR may release new versions of or updates to the Developer Tools from time to time. You may be required to modify the Developer Application and/or Integration at your own cost to remain compatible with the then-current version of the Developer Tools.
1.5 Test Accounts.
BambooHR may provide Test Accounts and test data for development and evaluation purposes only. Unless BambooHR approves otherwise in writing, Developer may maintain no more than two (2) BambooHR Test Accounts at any time and may not use BambooHR Customer Integration Data in test accounts. Developers may only use fake or dummy data in test accounts. Developer must use Test Accounts manually. Developers may not automate use of the Test Accounts, use scripts or bots to generate accounts, users, or data for the purpose of load testing, stress testing, or circumventing usage limits. Developers must keep Test Accounts environments logically separated from production systems and must not connect or commingle Test Accounts or test data with production BambooHR Customer accounts. BambooHR may suspend or revoke access to Test Accounts at any time.
1.6 Developer Portal Policies and Guidelines.
Developer’s access to and use of the Developer Tools is subject to and must comply with all applicable documentation, technical specifications, policies, guidelines, and requirements made available by BambooHR through the Developer Portal or otherwise in writing, including any marketplace or integration listing requirements, as updated from time to time (collectively, “Developer Policies”). Developer Policies are incorporated into these Developer Terms by reference. If there is a conflict between these Developer Terms and Developer Policies, these Developer Terms control unless the Developer Policies expressly state otherwise.
1.7 API Versions and Deprecation.
BambooHR may maintain multiple versions of its APIs concurrently. While BambooHR may update, modify, or deprecate any API version or endpoint, BambooHR will endeavor, where practicable, to provide advance notice and a reasonable transition period for material breaking changes, consistent with BambooHR’s published API documentation. Developer remains responsible for monitoring documentation and updating the Developer Application and any Integration to maintain compatibility with supported API versions.
2. Third-Party Providers
You may permit unaffiliated third-party service providers (for example, contractors or consultants) (“Third-Party Providers”) to access and use the Developer Tools solely to help you design, build, implement, maintain, or support an Integration, provided that:
- you remain fully responsible and liable for all acts and omissions of any Third-Party Providers;
- you ensure that Third-Party Providers create individual accounts in the Developer Portal; and
- you ensure that each Third-Party Provider is bound by written obligations that are at least as protective of BambooHR and the Developer Tools as these Developer Terms.
Any breach of these Developer Terms by a Third-Party Provider will be deemed a breach by the Developer and Developer will be liable for any breaches of these Developer Terms by a Third-Party Provider.
3. Developer Credentials and Account Information
3.1 Developer Portal Accounts.
If BambooHR enables you to create login credentials (such as usernames and passwords, collectively “Credentials”) for the Developer Portal or other Developer Tools (“Account Information”), such Account Information is issued to and intended for use by a single, authorized user only. Sharing of Account Information is strictly prohibited. You must keep all Account Information confidential and secure and may not share, transfer, sublicense, or otherwise disclose or make available such Account Information to any other person or entity, except as expressly authorized in writing by BambooHR.
3.2 BambooHR Customer Authentication.
BambooHR will only issue API keys to BambooHR Customers for that customer’s internal business purposes. API keys may only be used in applications, scripts, or systems that are (a) operated and controlled directly by the BambooHR Customer, (b) running on infrastructure owned or directly controlled by the BambooHR Customer, and (c) not accessible to or operated by third parties. BambooHR Customers may engage contractors or consultants to build such internal systems, provided the resulting system and all credentials remain under the Customer's direct control and are not hosted on or accessible through third-party infrastructure. BambooHR Customers must not issue API keys to third-parties, including but not limited to, Developers, vendors, contractors, service providers, partners, or external systems, to access BambooHR APIs or BambooHR Customer Integration Data. BambooHR Customers may also authenticate using the OAuth framework or other BambooHR-approved authentication mechanisms. For clarity, permission to use API keys does not extend to third-party Developers, or other third-party applications, integrations, service providers, or external systems, all of which must authenticate using BambooHR-approved authentication mechanisms.
3.3 Third-Party Developer Authentication.
This section applies to Developers building Integrations where the resulting Integration or credentials are not under the Customer's direct control, or where the Integration is hosted on or accessible through third-party infrastructure. Access under this section requires authentication exclusively through BambooHR's OAuth framework or other BambooHR-provided authentication methods expressly designated for third-party access in the Developer Portal. Any other credential sharing or authentication method is prohibited.
3.4 Rotation and Revocation.
BambooHR may rotate, revoke, or reissue Credentials at any time. If BambooHR issues replacement Credentials, you must promptly update the Developer Application and cease use of any prior Credentials.
3.5 Responsibility for Use.
You are responsible for all activity occurring under your Account Information and Credentials, whether or not authorized by you. If you become aware of any unauthorized access to or use of your Account Information, Credentials, or the Developer Tools, you must promptly notify BambooHR and take all reasonable steps to mitigate harm, including revoking compromised credentials where applicable.
4. Privacy Notice
When you or your personnel access the Developer Portal or Developer Tools, BambooHR may collect, use, and disclose personal data about you in accordance with BambooHR’s Privacy Notice. You acknowledge that you have read the applicable BambooHR Privacy Notice(s) and that BambooHR’s use of such information is governed by those notices, not by this Section 4.
5. AI, Data Privacy & Compliance with Laws
5.1 Compliance Obligations.
Developer, the Developer Application, any Integration, and your use of the Developer Tools must at all times comply with:
- these Developer Terms;
- all applicable local, state, national, and international laws, rules, and regulations (collectively, “Applicable Laws”), including those relating to data protection, privacy, employment, and consumer protection;
- all contractual obligations between you and the BambooHR Customer.
5.2 User Data.
You are solely responsible for any data, content, or materials you or your users submit, store, or transmit via the Developer Tools or the Integration, including:
- data provided by or about users of the Developer Application (“Developer User Data”); and
- data originating from or relating to BambooHR Customers that is accessed, received, derived, or otherwise processed via the Developer Tools or an Integration, including employee, applicant, payroll, time off, benefits, and related records (as applicable) (“BambooHR Customer Integration Data”).
Together, Developer User Data and BambooHR Customer Integration Data are referred to as “User Data.”
5.3 Developer Privacy Practices.
You must maintain and comply with a publicly available privacy notice that:
- clearly describes the categories of User Data you collect via the Developer Application or Integration;
- explains how you use, share, and retain User Data (including with any Third-Party Providers);
- clearly describes individual rights (access, deletion, etc.) to access, delete, personal information under Applicable Laws and the process for making those requests of Developer; and
- accurately describes your security practices and any rights users may have under Applicable Laws.
You must ensure that each user whose User Data is processed by the Integration has been provided all necessary notices and consents required under Applicable Laws.
5.4 User of User Data.
You may access, process, and use User Data only:
- to provide and support the Developer Application and Integration to the relevant BambooHR Customer;
- in accordance with each user’s instructions and consents; and
- in compliance with Applicable Laws and your published privacy notice.
You may not sell User Data, use it to profile individuals for unrelated advertising or marketing purposes, or otherwise exploit User Data in a manner inconsistent with these Developer Terms or Applicable Laws.
5.5 Authorization to Submit Data.
You represent and warrant that you have obtained and will maintain all rights, licenses, permissions, and consents necessary to submit or retrieve any User Data to/from BambooHR through the Developer Tools and to enable BambooHR to process such data in connection with the BambooHR Services in accordance with BambooHR’s customer agreements and privacy documentation.
5.6 Data Retention; Deletion; Disconnect.
Developers will retain BambooHR Customer Integration Data only for as long as necessary to provide and support the Integration for the applicable BambooHR Customer, unless longer retention is required by Applicable Laws. Upon the earlier of (a) the BambooHR Customer’s disconnection, uninstallation, or revocation of authorization for the Integration, or (b) termination of these Developer Terms or the applicable BambooHR Customer relationship, Developer will promptly (and in any event within thirty (30) days) delete or irreversibly anonymize BambooHR Customer Integration Data in Developer’s possession or control, except to the extent retention is required by Applicable Laws. Upon BambooHR’s reasonable request, Developer will provide written confirmation of deletion or anonymization.
5.7 AI and Model Use Restrictions.
Unless BambooHR expressly permits otherwise in writing, Developer will not (a) use BambooHR Customer Integration Data (including any derived data, metadata, or outputs containing BambooHR Customer Integration Data) to train, fine-tune, evaluate, or improve any machine learning model or AI system; (b) create, maintain, or use embeddings, vector databases, retrieval indexes, or similar persistent representations of BambooHR Customer Integration Data for general-purpose reuse beyond providing the Integration to the applicable BambooHR Customer; or (c) use BambooHR Customer Integration Data to build or enhance a generalized dataset, model, or agent that is offered to any third party or used for any purpose unrelated to the applicable BambooHR Customer’s authorized use. Developer may process BambooHR Customer Integration Data using AI features solely to provide the Integration to the applicable BambooHR Customer, consistent with user instructions and consents, and must implement reasonable safeguards designed to prevent disclosure of BambooHR Customer Integration Data to unauthorized parties (including through prompts, logs, model outputs, or training pipelines).
For the avoidance of doubt, nothing in this Section 5.7 limits BambooHR’s rights under the BambooHR Artificial Intelligence Addendum to use BambooHR customer data, BambooHR Customer Integration Data, performance data, or feedback to develop, improve, or operate BambooHR AI features solely for the benefit of the applicable BambooHR Customer, and not for providing services to other customers or third parties.
5.8 Data Minimization; Caching; No System of Record.
Developers will access, store, and process BambooHR Customer Integration Data only to the extent necessary to provide and support the Integration for the applicable BambooHR Customer. Developers will not create or maintain a persistent copy of BambooHR Customer Integration Data that functions as a substitute system of record for HR, payroll, or employee data, except as reasonably necessary for the Integration’s operation for the applicable BambooHR Customer. Any caching must be limited in scope and duration, must be secured consistent with Section 6, and must be refreshed and invalidated in a manner that respects usage limits and customer authorizations.
5.9 BambooHR Customer Integration Data Obligations.
Developer will treat BambooHR Customer Integration Data as Confidential Information and will restrict access to BambooHR Customer Integration Data to personnel and systems that require access to provide the Integration for the applicable BambooHR Customer(s). Developer will implement least-privilege access controls and maintain appropriate logs and monitoring for access to BambooHR Customer Integration Data. Developers must ensure that all privacy and data protection agreements (data processing agreements, service provider obligations) are in place between Developer and BambooHR Customers.
6. Security Requirements and Reviews
6.1 Security Controls.
You must implement and maintain appropriate technical, administrative, and physical safeguards—consistent with industry-standard security practices and no less than reasonable care—to protect:
- the Developer Tools and Credentials you control;
- the Integration; and
- User Data and any other information you process in connection with the Integration (collectively, “Custodial Data”) against unauthorized access, destruction, loss, alteration, or disclosure.
6.2 License Grant.
As a condition to or as a continuation of access to certain Developer Tools or production API environments, BambooHR may require you to undergo security reviews or assessments. BambooHR may request security-related documentation such as penetration test summaries, security certifications, or audit reports (“Security Information”). You agree to:
- reasonably cooperate with such reviews;
- provide accurate and complete Security Information; and
- authorize BambooHR to share Security Information with third-party security reviewers engaged by BambooHR, if applicable.
6.3 Security Recommendations.
BambooHR may provide you with security guidance or require remedial actions to address observed vulnerabilities or risks related to the Integration or your environment. You agree to implement such remediations at your own cost within a reasonable timeframe. You will be solely responsible for any consequences of failing to do so. Your failure to respond to remediation actions may result in revocation of access to Developer Tools or use of BambooHR systems and/or data.
6.4 Security Incidents.
Developer must notify BambooHR within seventy-two (72) hours of discovery of any actual or reasonably suspected unauthorized access to or use of the Developer Tools or Custodial Data, or other security incident affecting the integration (“Security Incident”), and without undue delay (and in any event within twenty-four (24) hours) if the Security Incident involves suspected compromise of Credentials, tokens, secrets, or authentication mechanisms used to access the Developer Tools or BambooHR Customer Integration Data. Developer will provide regular updates as BambooHR reasonably requests until the Security Incident is contained and remediated.
Your notice must include:
- a description of the nature of the Security Incident;
- the categories and approximate number of affected individuals (if known); and
- the measures you are taking or propose to take to remediate or mitigate the Security Incident.
You remain solely responsible for investigation, remediation, and any legally required notifications relating to any Security Incident in your systems or within your control, except to the limited extent BambooHR is directly responsible under Applicable Laws as a controller or processor of BambooHR Customer Integration Data.
BambooHR may, at its discretion, participate in the investigation or response to a Security Incident and you agree to reasonably cooperate with BambooHR in such participation.
6.5 Vulnerability Reporting; Security Testing.
Developer will promptly report to BambooHR any vulnerabilities, security weaknesses, or suspected exploits related to the Developer Tools or an Integration that could affect BambooHR, BambooHR Customers, or BambooHR Customer Integration Data (related to the integration or otherwise). Developer will not perform penetration testing, load testing, fuzzing, scanning, or similar security testing of BambooHR systems or the Developer Tools without BambooHR’s prior written authorization (except where BambooHR expressly authorizes testing through a designated program). Developer will not publicly disclose any vulnerability affecting BambooHR until BambooHR has had a reasonable opportunity to investigate and remediate.
7. Integration Review
7.1 Reviews.
BambooHR may require that any new Integrations, or material changes to existing Integrations, be submitted to BambooHR for review and approval before:
- granting or restoring production access to the Developer Tools; and/or
- listing or making the Integration available to BambooHR Customers via any BambooHR marketplace, directory, or similar channel.
By submitting an Integration for review, you grant BambooHR the right to test and evaluate the Integration, including by accessing the Developer Application (or a test environment) as reasonably necessary to verify:
- compliance with these Developer Terms;
- security posture; and
- compatibility with the BambooHR Services and developer experience guidelines.
BambooHR may approve or reject any Integration in its sole discretion and will not be liable for any costs or damages you incur as a result of such review, rejection, or any delays.
7.2 Delisting; Revocation; Developer Support Contacts.
BambooHR may, in its discretion, remove or delist an Integration from any BambooHR marketplace or directory, or revoke or limit production access, if BambooHR reasonably determines the Integration or Developer is noncompliant with these Developer Terms, poses security or operational risk, or materially harms the BambooHR customer experience. The developer will maintain accurate support contact information (including an escalation contact for security incidents) and provide commercially reasonable support to BambooHR Customers. If Developer makes changes to the Integration that materially affect functionality, permissions, or data access, Developer will provide reasonable advance notice to impacted BambooHR Customers, unless prohibited by law or required to address an urgent security issue.
8. Proprietary Rights
8.1 BambooHR Intellectual Property.
As between BambooHR and Developer, BambooHR and its licensors own all right, title, and interest, including all intellectual property rights, in and to:
- the Developer Tools;
- the BambooHR Services and any underlying software and technology;
- the BambooHR Marks and copyrights; and
- all data originating from BambooHR systems, including BambooHR Customer Integration Data obtained through the Developer Tools (subject to rights held by BambooHR Customers under their agreements with BambooHR) (together, the “BambooHR Intellectual Property”).
Except for the limited license expressly granted in Section 1, no rights are granted to you under these Developer Terms, whether by implication, estoppel, or otherwise.
You may not remove, obscure, or alter any copyright, trademark, or other proprietary notices contained in or on the Developer Tools or associated materials. You will use commercially reasonable efforts to safeguard the BambooHR Intellectual Property (including all copies thereof) from infringement, misappropriation, theft, misuse, or unauthorized access. You will promptly notify us if you become aware of any infringement of any intellectual property rights in the BambooHR Intellectual Property and will fully cooperate with us, in any legal action taken by us to enforce our intellectual property rights.
8.2 Feedback.
If you provide any suggestions, enhancement requests, recommendations, or other feedback related to the Developer Tools or BambooHR Services (“Feedback”), you agree that BambooHR shall own all such Feedback, and BambooHR and its affiliates, licensees, customers, partners, third-party providers and other authorized entities may freely use, disclose, reproduce, license, or otherwise exploit such Feedback without restriction or obligation (including attribution or payment) to you.
8.3 Developer Intellectual Property.
As between the parties, you retain ownership of the Developer Application and Developer User Data, subject to any rights granted to BambooHR in a separate agreement (for example, to enable BambooHR to promote supported Integrations or to provide support).
9. Integration Support
You are solely responsible for providing support and maintenance for the Developer Application and any Integration, including first-line support to BambooHR Customer(s). BambooHR has no obligation to provide support to your users with respect to the Developer Application or Integration, though BambooHR may, at its discretion, provide general API-related support resources for developers.
10. Monitoring and Usage
You acknowledge and agree that BambooHR may:
- monitor calls to and from the Developer Tools;
- collect telemetry, logs, and usage data; and
- review Integrations and their configuration
for purposes including security, compliance, service improvement, troubleshooting, and enforcement of these Developer Terms.
BambooHR may use aggregated and de-identified data derived from your use of the Developer Tools for analytics and improvement of the BambooHR Services and Developer Tools.
11. Availability; Maintenance; No Guarantee
BambooHR does not guarantee that the Developer Tools will be available at all times or free from interruption, errors, or loss of data. Developer Tools may be unavailable due to maintenance, updates, or unplanned outages. BambooHR will make commercially reasonable efforts to limit disruptive maintenance but has no liability to you or any third party for any unavailability or degradation of the Developer Tools.
BambooHR may, but is not obligated to, provide updates, bug fixes, or technical support for the Developer Tools except as expressly agreed in a separate written agreement.
12. Acceptable Use and General Prohibitions
You will not, and will not authorize any third party to:
- copy, modify, or create derivative works of the Developer Tools;
- reverse engineer, decompile, disassemble, or attempt to derive the source code or underlying structure of any Developer Tools;
- use the Developer Tools to build products or services that are competitive with the Developer Tools or BambooHR Services;
- exceed or attempt to circumvent any rate limits or usage caps, or otherwise place an unreasonable or disproportionate load on the Developer Tools or BambooHR infrastructure;
- rent, lease, sell, sublicense, or otherwise provide the Developer Tools to third parties on a standalone basis;
- access or use the Developer Tools in any way that compromises the security or integrity of BambooHR systems or data;
- submit malware, malicious code, or harmful content via the Developer Tools or Integration;
- scrape or crawl BambooHR interfaces or content without BambooHR’s prior written consent;
- misrepresent the source or ownership of data or materials transmitted via the Integration;
- remove or alter any proprietary notices on or in the Developer Tools; or
- use the Developer Tools in violation of these Developer Terms or Applicable Laws.
Without limiting Section 12, you will not use the Developer Tools or any Integration to (a) enable or promote unlawful activity; (b) provide or promote adult sexual content, gambling products or services, or other age-restricted services where prohibited by Applicable Laws; (c) obscure, misrepresent, or remove attribution to BambooHR as the source of BambooHR Customer Integration Data; or (d) combine BambooHR Customer Integration Data with third-party search results or other data sources in a manner that is likely to confuse end users about the origin, accuracy, or source of BambooHR Customer Integration Data.
13. Trademarks, Branding, and Publicity
13.1 Marks.
Each party retains all rights in its names, logos, and trademarks (“Marks”). Except as expressly allowed in this Section 13, neither party may use the other party’s Marks without prior written consent.
13.2 Developer’s Use of BambooHR Marks.
Subject to BambooHR’s prior written approval and brand guidelines, BambooHR grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to use BambooHR’s Marks solely to identify and promote an approved Integration to the BambooHR Customer(s) (for example, on your website or in marketing collateral).
13.3 BambooHR’s Use of Developer Marks.
During the term of these Developer Terms, you grant BambooHR a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to use your Marks to identify you and your Integration as a BambooHR integration partner, including on BambooHR websites, marketing materials, and customer communication
13.4 Public Announcements.
You may not issue any press release or other public communication that references BambooHR or the Integration without BambooHR’s prior written consent, except for factual statements regarding the availability of an approved Integration in standard marketing materials.
14. Confidentiality
14.1 Confidential Information.
“Confidential Information” means information disclosed by one party (“Disclosing Party”) to the other (“Receiving Party”) that:
- is designated as confidential; or
- given the nature of the information or circumstances of disclosure, should reasonably be understood to be confidential.
Confidential Information includes, without limitation, the Developer Tools (including their design and documentation), non-public product roadmaps, security information, and any non-public BambooHR Customer Integration Data or business information.
14.2 Obligations.
The Receiving Party will:
- use Confidential Information solely to exercise its rights and fulfill its obligations under these Developer Terms;
- protect Confidential Information with at least the same degree of care it uses for its own similar confidential information, and no less than reasonable care; and
- limit access to confidential information to personnel and advisors who have a legitimate need to know and are bound by confidentiality obligations at least as protective as those in this Section.
14.3 Exclusions.
The obligations above do not apply to information that:
- is or becomes publicly available through no fault of the Receiving Party;
- the Receiving Party already lawfully knew without confidentiality obligation;
- is independently developed by the Receiving Party without use of the Disclosing Party’s Confidential Information; or
- is lawfully received from a third party without breach of an obligation to the Disclosing Party.
14.4 Compelled Disclosure.
The Receiving Party may disclose Confidential Information if required by law or valid legal process, provided it (where legally permitted) gives the Disclosing Party prompt notice and cooperates reasonably with any efforts to limit or protect such disclosure.
15. Warranty Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE DEVELOPER TOOLS AND ANY ASSOCIATED DOCUMENTATION OR MATERIALS ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITH ALL FAULTS AND WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY.
BAMBOOHR DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.
BAMBOOHR DOES NOT WARRANT THAT:
- THE DEVELOPER TOOLS OR ANY INTEGRATION WILL MEET DEVELOPER’S OR ANY USER’S REQUIREMENTS;
- ACCESS TO THE DEVELOPER TOOLS WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE; OR
- ANY DATA OR RESULTS OBTAINED FROM USE OF THE DEVELOPER TOOLS WILL BE ACCURATE OR RELIABLE.
16. Indemnity
Developer will indemnify, defend, and hold harmless BambooHR and its affiliates, and each of their respective officers, directors, employees, and agents, from and against any and all third-party claims, demands, actions, proceedings, losses, damages, liabilities, judgments, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:
Developer Application and Integration.
The development, operation, maintenance, availability, or use of the Developer Application or any Integration, including any claims arising from errors, outages, defects, or failures of the Developer Application or Integration.
Violation of These Developer Terms or Applicable Laws.
Developer’s or its personnel’s breach of these Developer Terms or violation of any Applicable Laws, including laws relating to artificial intelligence, data protection, privacy, employment, consumer protection, export controls, or sanctions.
Artificial Intelligence, Data Protection, Privacy, and Security Incidents.
Any actual or alleged failure by Developer or its Third-Party Providers to implement or maintain appropriate administrative, technical, or physical safeguards, including any Security Incident involving the Integration, User Data, BambooHR Customer Integration Data, or Credentials within Developer’s control.
Content and Data Provided by Developer.
Any data, content, prompts, outputs, or materials submitted, transmitted, generated, or processed by or on behalf of Developer through the Developer Tools or any Integration, including claims that such materials infringe, misappropriate, or otherwise violate the intellectual property, privacy, publicity, or other rights of a third party.
Third-Party Providers and Subcontractors.
The acts or omissions of Developer’s Third-Party Providers, subcontractors, or agents in connection with the Developer Tools, Developer Application, or any Integration.
Misrepresentation or Misconduct.
Developer’s gross negligence, willful misconduct, fraud, or misrepresentation in connection with these Developer Terms, the Developer Tools, or any Integration.
Indemnification Procedure.
BambooHR will provide Developer with prompt notice of any indemnified claim (to the extent practicable) and reasonable cooperation at Developer’s expense. Developer will not settle any claim in a manner that imposes any admission of liability, ongoing obligation, or restriction on BambooHR without BambooHR’s prior written consent, which will not be unreasonably withheld.
17. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL WE BE LIABLE TO YOU OR TO ANY THIRD PARTY UNDER ANY TORT, CONTRACT, NEGLIGENCE, STRICT LIABILITY, OR OTHER LEGAL OR EQUITABLE THEORY FOR LOST OR CORRUPTED DATA, COMPUTER FAILURE OR MALFUNCTION, INTERRUPTION OF BUSINESS OR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, OR DATA, ARISING OUT OF OR RELATED TO THESE DEVELOPER TERMS OR THE DEVELOPER TOOLS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES; AND
BAMBOOHR’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE DEVELOPER TERMS WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US $100) EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH LOSS OR DAMAGES AND WHETHER OR NOT SUCH LOSS OR DAMAGES ARE FORESEEABLE OR DEVELOPER WAS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THESE LIMITATIONS APPLY REGARDLESS OF THE LEGAL THEORY (CONTRACT, TORT, STRICT LIABILITY, ETC.) AND EVEN IF ANY LIMITED REMEDY FAILS FOR ITS ESSENTIAL PURPOSE.
18. Term, Termination, and Suspension
18.1 Term.
These Developer Terms commence on the Effective Date and continue until terminated by either party.
18.2 Termination for Convenience.
Either party may terminate these Developer Terms for any reason or no reason upon thirty (30) days’ prior written notice to the other party.
18.3 Termination for Cause.
Either party may terminate these Developer Terms immediately upon written notice if the other party materially breaches these Developer Terms and fails to cure such breach within ten (10) days after receiving written notice describing the breach.
18.4 Suspension.
BambooHR may suspend your access to some or all Developer Tools immediately, with or without notice, if BambooHR reasonably believes:
- you have breached these Developer Terms;
- your use of the Developer Tools poses a security risk or could adversely impact BambooHR Customers, BambooHR systems, or other developers; or
- such suspension is required to comply with law or protect BambooHR’s legitimate interests.
18.5 Effect of Termination.
Upon expiration or termination of these Developer Terms:
- all rights and licenses granted to you under these Developer Terms will immediately cease;
- you must cease all access to and use of the Developer Tools;
- you must promptly delete or destroy all Credentials, API secrets, and any Confidential Information of BambooHR in your possession or control, except to the extent retention is required by Applicable Laws; and
- Sections that by their nature should survive (including, without limitation, Sections 5, 6, 8, 10, 13–17, and 20–24) will survive.
19. Changes to the Developer Terms and Developer Tools
BambooHR may modify these Developer Terms from time to time. When we do so, we will update the “Last updated” date at the top of these Developer Terms and may provide additional notice (including via the Developer Portal or email).
If you continue to access or use the Developer Tools after the effective date of updated Developer Terms, you will be deemed to have accepted the updated terms. If you do not agree to any updated Developer Terms, you must stop using the Developer Tools.
BambooHR may also change or discontinue any Developer Tools (including specific APIs or endpoints) at any time. Where practicable, BambooHR will provide advance notice of changes that materially affect existing Integrations, but you understand that not all changes can be announced in advance.
20. Governing Law
These Developer Terms are governed by and construed in accordance with the substantive laws of the State of Utah, without reference to conflict-of-laws principles.
21. Force Majeure
BambooHR is not responsible or liable for any delay or failure in performance resulting from events or circumstances beyond its reasonable control, including acts of God, natural disasters, war, terrorism, civil unrest, labor disputes, power or internet failures, changes in law, or failures of third-party providers.
22. General
22.1 Entire Agreement.
These Developer Terms constitute the entire agreement between you and BambooHR regarding the Developer Tools and supersede any prior or contemporaneous agreements relating to the same subject matter.
22.2 Order of Precedence.
If Developer and BambooHR have entered into a separate written agreement governing an Integration (including, without limitation, BambooHR Customer Terms of Services, a marketplace partner agreement, data processing addendum, security addendum, AI addendum, or similar agreement), and that agreement conflicts with these Developer Terms, the separate written agreement will control only with respect to the subject matter expressly covered by that separate agreement; otherwise these Developer Terms shall control.
22.3 No Waiver.
A failure or delay by either party to enforce any right under these Developer Terms does not constitute a waiver of that right. Any waiver must be in writing and signed by an authorized representative of the waiving party.
22.4 Severability.
If any provision of these Developer Terms is held invalid or unenforceable by a court or arbitrator of competent jurisdiction, that provision will be enforced to the maximum extent permissible, and the remaining provisions will remain in full force and effect.
22.5 Assignment.
You may not assign or transfer these Developer Terms, by operation of law or otherwise, without BambooHR’s prior written consent. BambooHR may freely assign these Developer Terms, including in connection with a merger, acquisition, corporate reorganization, or sale of assets.
22.6 Independent Contractors.
The parties are independent contractors. These Developer Terms do not create any partnership, joint venture, agency, or employment relationship.
22.7 No Third-Party Beneficiaries.
Except as expressly stated otherwise, there are no third-party beneficiaries to these Developer Terms.
22.8 Export Controls and Sanctions.
Developer represents and warrants that it is not located in, organized under the laws of, or ordinarily resident in any country or region subject to comprehensive sanctions, and is not identified on any restricted party list maintained by the United States or other applicable government authorities. Developers will comply with all applicable export control and sanctions laws and will not access or use the Developer Tools in violation of such laws.
23. Electronic Transmission; Counterparts
These Developer Terms and any related documents may be agreed to and executed electronically and in counterparts (including via click-through or electronic acceptance), each of which will be deemed an original and all of which together constitute a single agreement. The parties agree that electronic signatures and acceptance will have the same legal effect as original signatures.
24. Notices
24.1 Notices to Developer.
BambooHR may provide notices to you under these Developer Terms by:
- email to the address associated with your Developer Portal account; and/or
- posting a notice in the Developer Portal or other BambooHR site used to provide the Developer Tools
24.2 Notices to BambooHR.
Unless BambooHR specifies a different address in writing, legal notices to BambooHR under these Developer Terms must be sent to:

Notices will be deemed given (a) when received if delivered by hand, (b) one (1) business day after being sent by a recognized overnight courier, or (c) three (3) business days after being mailed by certified or registered mail, return receipt requested.
