BambooHR has partnered with EasyLlama, Inc. ("EasyLlama") to make certain compliance training courses and related tools (the "EasyLlama Services") available to Customer and its authorized users ("Users") as a bundled feature of the BambooHR platform. The EasyLlama Services are provided by EasyLlama, a third-party service provider, and not by BambooHR. This Section supplements, and does not replace, the general terms governing Third-Party Services in this Addendum. In the event of a conflict between this Section and the general Third-Party Services terms, this Section governs with respect to the EasyLlama Services. This Addendum (the "Addendum") is hereby incorporated into the BambooHR Terms of Service (the “Agreement”) by reference.

1. Acceptance of EasyLlama’s Terms of Service. Before using the EasyLlama Services, Customer must accept the EasyLlama's Terms of Service, currently available at https://www.easyllama.com/terms, as a condition of access. Customer's, and each User's, use of the EasyLlama Services is governed by EasyLlama's Terms of Service in addition to this Addendum. BambooHR is not a party to, and has no responsibility for, EasyLlama's Terms of Service.

2. License Scope; No Ownership Interest. The EasyLlama Services, including all compliance training course content, materials, and the anonymous reporting tool (collectively, "Course Content"), are licensed to BambooHR by EasyLlama for bundled distribution within the BambooHR platform. Customer and its Users are granted a limited, non-exclusive right to access and use the Course Content solely as made available through the BambooHR platform, for Customer's internal business purposes. EasyLlama retains all right, title, and interest, including all intellectual property rights, in and to the Course Content and the EasyLlama Services. Nothing in this Addendum transfers any ownership interest in the Course Content to Customer or any User. Customer will not, and will not permit any User to, reverse engineer, decompile, disassemble, copy, or create derivative works of the Course Content, except as expressly permitted by EasyLlama's Terms of Service.

3. Support. BambooHR will provide first-line (Level 1) support to Users for the EasyLlama Services, including login, navigation, and basic troubleshooting issues. Issues that cannot be resolved by BambooHR will be escalated to EasyLlama for second-line support. EasyLlama endeavors, but does not guarantee, to respond to escalated support requests within one (1) business day. No specific service-level commitment is made with respect to the EasyLlama Services beyond this best-efforts standard.

4. Disclaimer of Warranties. THE EASYLLAMA SERVICES AND ALL COURSE CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER BAMBOOHR NOR EASYLLAMA MAKES ANY WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, REGARDING THE EASYLLAMA SERVICES, INCLUDING ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT, OR ANY WARRANTY THAT THE COURSE CONTENT SATISFIES ANY PARTICULAR REGULATORY OR LEGAL REQUIREMENT APPLICABLE TO CUSTOMER.

5. Limitation of Liability. BambooHR's liability arising out of or related to the EasyLlama Services is subject to the general Third-Party Services disclaimer and limitation of liability provisions of this Addendum and the Agreement. BambooHR does not assume, and expressly disclaims, any liability for EasyLlama's acts, omissions, or the content, accuracy, or regulatory sufficiency of the Course Content.

6. Term; Discontinuation of Access. BambooHR may modify, suspend, or discontinue the EasyLlama Services, in whole or in part, at any time, including as a result of the termination or expiration of BambooHR's underlying agreement with EasyLlama. BambooHR does not guarantee availability of the EasyLlama Services.
