Employer of Record Addendum

This Addendum ("Addendum") is hereby incorporated into the BambooHR Terms of Service (the "Agreement") by reference and applies to all Customers who access the EOR Services through the BambooHR platform. By accessing the EOR Services, you agree to comply with the terms and conditions set forth in this Addendum.

1. Acceptance of Remote Terms of Service

1.1. Before accessing the BambooHR® Employer of Record (“EOR”) Services powered by Remote® (the “Remote Services”), you must accept the Remote Terms of Service, available at https://remote.com/policy/terms-of-service and Privacy Policy found at https://remote.com/policy/privacy-policy. Access to BambooHR’s EOR Services is contingent upon acceptance of the Remote terms in the BambooHR platform. You must comply with all terms and conditions outlined in the Remote Terms of Service and this Addendum. Failure to comply may result in suspension or termination of access to the EOR Services and/or Remote’s Services. Furthermore, by accessing and utilizing the BambooHR® EOR Services powered by Remote®, Customer acknowledges that they have read, understood, and agree to be bound by this Addendum and the Remote Terms of Service.

2. Access and Use of Remote Services

2.2. Customer will use the EOR Services in compliance with all applicable laws and regulations.

3. Relationship between the Parties.

3.1. Customer acknowledges and agrees that all EOR employees hired by Remote through the EOR Services are employees of Remote for Remote’s Services and that such EOR employees are NOT employees of BambooHR. Customer is responsible for communicating to its EOR employees their employment status as an employee of Remote.

3.2. Customer agrees that BambooHR has no obligation to, or relationship with, the EOR employees hired by Remote. Any liabilities or obligations to the EOR employees will be borne by the Customer and Remote. BambooHR assumes no responsibility to ensure your compliance with applicable laws, including employment laws, where such EOR employees are hired by Remote.

3.3. BambooHR, as part of our agreement with Remote, may offer cost calculations to you for Remote’s Services. These cost calculations are estimates and BambooHR makes no representations or warranties as to the accuracy or completeness of the cost calculations.

3.4. BAMBOOHR HEREBY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT, WITH RESPECT TO THE EOR SERVICES OR REMOTE SERVICES.

4. Onboarding and Support

4.1. BambooHR will provide general support to Customer to access and use the EOR Services. Remote is responsible for support for the Remote Services.

4.2. BambooHR cannot offer support for employee issues of EOR employees or EOR related issues or matters. All such matters will be handled by Remote. Please refer to section 3 of this addendum for information about the relationship between the Parties.

5. Amendments

5.1. BambooHR reserves the right to amend this Addendum as necessary to comply with changes in the Remote Terms of Service or applicable laws. Customers will be notified of any material changes to this Addendum.
