HR Consulting and Managed Payroll Services Addendum

This HR Consulting and Managed Payroll Services Addendum (the “Consulting Addendum”) governs your use of such Services, and are part of the BambooHR Terms of Services (as found here: https://www.bamboohr.com/legal/terms-of-service) (the "Agreement") which is hereby incorporated into the Agreement by reference. This Consulting Addendum supplements the existing Agreement and sets forth the additional terms and conditions under which BambooHR will provide you with certain HR Consulting and Managed Payroll Services (as defined below). In the event of a direct conflict between a term in this Consulting Addendum and the Agreement, the terms of this Consulting Addendum will control. Capitalized terms used by not otherwise defined in this Consulting Addendum will have the meanings set forth in the Agreement or other incorporated agreements as applicable.

1. HR Consulting Services.

1.1 Scope of Services. BambooHR will provide you with HR Consulting Services as outlined in your Order Form. Services may include things such as HR strategy and workflows, best practices, process and systems optimizations, organizational design, change management, guidance and coaching, analytics review, etc. (together “HR Consulting Services” or “Services”). HR Consulting Services may be provided on an ongoing or project basis as described in your Order Form. The Services will be provided in accordance with the terms of this Addendum and in a timely, workmanlike, and professional manner.

1.2 Outside the Scope of Services. The HR Consulting Services are informational and consultative in nature and are not designed or intended to be legal, HR or tax advice, outsourced or fractional HR, PEO or co-employment services, payroll processing or benefits administration services, employee-level HR support, recruiting/RPO/candidate sourcing, product development or system customization, etc. BambooHR reserves the right, in its sole discretion, to limit and define what it will or will not consult on and when a Customer's request for consulting falls outside the scope of BambooHR’s HR Consulting Services. If you are in need of legal, HR or tax advice, you should consult with your own legal counsel or HR advisors. See section 13 of the Agreement for further details regarding your obligation to manage your own compliance with Applicable Laws and your responsibility to manage your own HR practices.

1.3 Customer Obligations. Customer is responsible for its own execution of HR tasks and decisions, implementation of changes in BambooHR, providing accurate and timely context and information to enable BambooHR to provide the BambooHR Consulting Services, and attending the scheduled consulting sessions. Consulting sessions canceled with less than 24 hours notice will still be counted towards your allotted consulting hours under the Consulting Services.

2. Managed Payroll Service.

2.1 Scope of Services: BambooHR will process payroll on behalf of the Customer, including the calculation and distribution of employee wages, tax withholdings, and other related payroll processing services (“Managed Payroll Service” or “Services”). The Services will be provided in accordance with the terms of this Addendum and in a timely, workmanlike, and professional manner. Customer must be using BambooHR’s payroll Service as defined in the BambooHR Payroll Services Agreement (“Payroll Services Agreement”) located at https://www.bamboohr.com/legal/payroll-services-agreement and BambooHR payroll platform in order to be able to use the Managed Payroll Service. BambooHR does not offer the Managed Payroll Services for use in conjunction with another payroll service provider or payroll processing platform. Customer must accept the Payroll Services Agreement in addition to this Consulting Addendum in order to use the Managed Payroll Services. The Payroll Services Agreement is hereby incorporated into this Consulting Addendum by reference.

2.2 Out of Scope: Managed Payroll Services may not be available to Customers in every state nor are these Services available for Customers outside of the United States. Managed Payroll Services may not be used to pay unionized employees or for general check processing/printing for Customer employees. Managed Payroll Services is not intended as a co-employment or PEO offering to the Customer and its employees. BambooHR and Customer agree that all Customer employees are and remain the employees of the Customer and that BambooHR does not assume an employer-employee relationship with the Customer’s employees by providing the Managed Payroll Service. BambooHR’s obligations hereunder are solely to the Customer as the user of the Managed Payroll Service.

2.3 Customer Obligations: Customer will fulfill its obligations under the Payroll Services Agreement as applicable to the Managed Payroll Services. Customer will also cooperate with BambooHR as necessary to ensure the accurate and timely processing of payroll on the Customer’s behalf under the Managed Payroll Services. Such cooperation may include things such as making time and attendance data available, providing ledger data, communicating updates about employees, benefits, state liabilities, etc., helping to facilitate state registration(s), approving payroll including the pre-processing journal by the cut-off times established by BambooHR’s policies for the Managed Payroll Service, reporting errors, etc. This list of obligations is meant to be illustrative and not exhaustive.

3. Payment Terms; Updates

3.1 Customer agrees to pay the fees for the Services in accordance with the Order Form applicable to the Customer’s Services and section 5 of the Agreement.

3.2 This Addendum may be updated from time to time as described in the Agreement.

4. Term and Termination.

4.1 Term. Your Order Form specifies your Subscription Term for your HR Consulting or Managed Payroll Services and whether your Services are for a Month-to-Month or Extended Term Subscription.

4.2 Renewal. Your subscription for HR Consulting or Managed Payroll Services shall renew according to the renewal provisions governing your Subscription Term under the Agreement. See Section 5.1 of the Agreement for further details

4.3 Termination. Your Services may be terminated only as permitted by your Subscription Term under the Agreement. See Section 2.3 of the Agreement for further details.

5. Intellectual Property.

5.1 All intellectual property rights in all documents, data, know-how, methodologies, software and other materials (“Consulting Materials”) provided by or used by BambooHR in performing the Services and developed or acquired by BambooHR prior to, as a result of, or independently to the provision of the Services to the Customer shall by owned exclusively by BambooHR and/or its licensors. BambooHR hereby grants Customer a limited, revocable, non-transferable, non-sublicensable, worldwide, non-exclusive right to use such Consulting Materials to the extent incorporated into or otherwise necessary for the use of the Services. All other rights in and to the Consulting Materials are expressly reserved by BambooHR.

6. DISCLAIMER. LIMITATION OF LIABILITY.

6.1 TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BAMBOOHR HEREBY DISCLAIMS ALL OTHER WARRANTIES, EITHER EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, THE IMPLIED WARRANTIES ARISING FROM COURSE OF DEALING, USAGE OR TRADE PRACTICE, OF MERCHANTABILITY, NON-INFRINGEMENT, OR FITNESS FOR A PARTICULAR PURPOSE WITH RESPECT TO THE HR CONSULTING OR MANAGED PAYROLL SERVICES. BAMBOOHR DOES NOT WARRANT THAT THE SERVICES WILL BE ERROR-FREE OR UNINTERRUPTED, THAT THE SERVICES WILL MEET CUSTOMER’S REQUIREMENTS, ACHIEVE ANY INTENDED RESULT, OR BE COMPATIABLE WITH ANY OTHER GOODS, SERVICES OR TECHNOLOGIES. THE SERVICES ARE PROVIDED “AS IS.”

6.2 LIABILITY FOR THE HR CONSULTING OR MANAGED PAYROLL SERVICES SHALL BE LIMITED AS SET FORTH IN THE AGREEMENT. SEE SECTION 9.3 OF THE AGREEMENT FOR FURTHER DETAILS.
